Abstract

A stable public procurement contract constitutes an expression of not only legal certainty and the substantialpacta sunt servanda principle, but also the principle of equality, fair competition and transparency (predictability). By not confirming the general prohibition against early termination of public procurement contracts, the Polish legislator made a rather unsuccessful implementation of Article 73 of Directive 2014/24, since its activities were limited to copying the provisions contained in it, in separation from general principles. Apart from that, in Articles 145–145a of the PPL that reflect the said provisions of the Directive there have been omitted some structural elements, which are necessary from the perspective of the Polish law, in particular the possibility of voluntary renouncement of a contract under the same circumstances under which a more radical renouncement of the contract is permitted (Article 145 of the PPL). Besides, no reference is made to the relation between withdrawal from the contract and termination of the contract, since Article 145 of the PPL directly provides for settlement of the performed part of the procurement contract according to the provisions on the “remuneration due to the contractor” rather than the provisions on unjust enrichment. Moreover the new Article 145a of the PPL does not define the time limits for the exercise of the right to renounce a procurement contract by the awarding entity after the occurrence of the entitlement, which is of key significance not only within the light of the basic principles of Polish law, but also from the perspective of the protection of the contractor’s interests. Furthermore, against the background of Article 145a item 1 of the PPL, one may regret that despite the fact that the awarding entity was given a possibility of “renouncement” of a defective amendment to the contract with violation of Article 144 of the PPL, subject to annulment, but no analogous solution was provided in the event of defective conclusion of the contract, constituting legal grounds for bringing an action for declaring the contract null and void under Article 146 of the PPL.
